Financial transactions
As a law firm, we regularly advise our clients in Polish and cross-border transactions involving financial products. As part of our practice, we provide services to both financial and non-financial sector entities. We specialise in financing and refinancing transactions in which we advise (both banks and borrowers) on developing transaction structures, preparing the relevant documentation (including the establishment of collateral) and implementing the prerequisites for the disbursement of funds. We also advise entities offering financial products (especially leasing and loans) on preparing documentation templates (both for B2B and B2C trade). We have extensive experience in developing debt restructuring plans, including established security instruments.
In particular, we:
- advise clients on financing and refinancing agreements (both on the side of borrowers and lenders);
- support clients in negotiations conducted by banks and investors;
- develop and establish collateral instruments (in particular mortgages, pledges, registered pledges, sureties, guarantees, assignment agreements or bills of exchange);
- prepare comprehensive documentation of financial products, in particular leasing and loans;
- implement cash pooling structures;
- create documentation of trade in receivables (factoring);
- develop and implement debt restructuring plans (both for individual entities and groups of companies);
- conduct due diligence processes of financial documentation;
- assist the management boards in assessing and managing the risks of participation in lending to group companies;
- adjust the structures of securities established on assets located in Poland as part of cross-border financing to the requirements of the Polish law;
- design and analyse tax financing and collateral structures, both domestic and with foreign elements;
- prepare legal opinions, capacity opinions and enforceability opinions.
