Dorota Kęsik
Attorney-at-law in the Litigation and Arbitration Team and the Infrastructure Team. Her experience encompasses day-to-day corporate advice and legal assistance to Polish and foreign entities in M&A transactions, banking and finance, and court disputes.
As part of litigation advice, she supports clients in a wide range of matters under civil and commercial law, including commercial disputes regarding non-performance and improper performance of construction contracts, service contracts, contract withdrawals and contractual penalties, joint and several liability of investors and general contractors for remuneration owed to subcontractors, and breaches of the “Sanction Act” (prohibition of transactions with entities having commercial links to Russia).
Dorota has also represented clients in civil disputes regarding usucaption, land easements, actio pauliana, breach of ownership, and increase of a fee for perpetual usufruct, as well as in corporate disputes regarding declaration of resolution invalidity, excluding a shareholder from a company, right to dispose of shares, management board member’s conduct to a company’s detriment, declaration of invalidity of a company’s articles of association, manager severance pay, and liability of a member of a limited liability company’s management board for the company’s obligations.
Her experience also includes court resolution of post-M&A disputes regarding a seller’s liability for providing false representations and warranties.
