Associate in the Transaction and Contract Counselling Team. He specialises in commercial and trade law, especially corporate law and M&As. Szymon focuses on corporate advice to business entities, assistance in regulatory matters, reorganisations and share transactions. His experience includes drafting corporate documentation regarding establishing and winding up companies, day-to-day advice to business entities, financing, mergers, divisions, transformations, and others. He has been involved in numerous share purchases, including due diligences, drafting transaction documentation and reorganisations. Szymon has also advised public companies on capital markets and compliance.
Selected projects
- participating in several due diligence processes for business entities, mainly from the energy sector, including strategic projects of state-owned companies;
- drafting transaction documentation for the acquisition of shares, including drafting SPAs, APAs and SHAs as well as collateral documentation;
- drafting corporate documentation concerning post-transaction reorganisation of corporate groups, in particular mergers and establishment of new companies;
- preparing corporate documentation concerning the establishment of corporate groups and the squeeze-out of minority shareholders.
