Associate in the Corporate and Commercial Disputes Team. He specialises in court proceedings, in particular corporate disputes. His experience also includes representing clients in proceedings to challenge corporate resolutions, disputes regarding the shareholder status and the proper representation of a company in legal transactions.
Tomasz has experience in handling post-M&A disputes involving, among other things, pursuing claims under option agreements or claiming compensation by a purchaser for defects in a purchased enterprise. Additionally, he has been involved in multiple criminal proceedings and proceedings based on the provisions of the act on combating unfair competition.
Selected projects
- participation in several court proceedings to challenge corporate resolutions, including representation of a sued joint-stock company in injunction proceedings and examination proceedings regarding the validity of convening and holding a general meeting in which the powers of the company’s management board and shareholders who participated in the general meeting were questioned;
- participation in court proceedings in which a third party claimed declaring that persons from whom he purchased a real property were authorised to represent the company – corporate dispute where a third party claiming to be a shareholder participated in appointing a management board member who was supposed to sell a real property to this third party;
- participation in court proceedings regarding the so-called company hijacking, including representation of a joint-stock company concerning which an application for registering changes in a corporate body’s composition was filed by persons claiming to be newly appointed management board members;
- representation of a company from an international group specialising in real property services in court proceedings regarding using a trade secret by a former management board member to solicit current customers and employees of the company for a new employer;
- participation in court proceedings for payment based on an option agreement – representation of an international company specialising in technologies for the railway infrastructure sector in a dispute regarding using a put option;
- participation in court proceedings regarding an enterprise purchase – representation of an international company operating in the food sector concerning pursuing claims related to defects in an enterprise purchased in Poland;
- representation of a company from the real estate sector in criminal proceedings (preparatory and court proceedings) against a former management board member who appropriated high-value property of the company in the period when he was holding his function as a president of the management board;
- participation in court proceedings regarding a lawsuit filed by a consumer against a bank regarding using the WIBOR index in a mortgage agreement – representation of the bank; the legal advice during the proceedings included, among other things, preparing an appeal as a result of which the second instance court changed the injunction decision of the lower court and dismissed the motion for injunction in all respects.
