Marcin Chomiuk, PhD

Dr Marcin Chomiuk is an attorney-at-law and Partner at JDP. He heads the Transactional Team and the Corporate and Post-M&A Disputes Team. He advises clients on complex M&A transactions, joint ventures and key corporate law matters, with particular focus on projects requiring sophisticated transaction structuring, coordination of multiple stakeholders and cross-border considerations.

He acts for both buyers and sellers, supporting clients from the planning and structuring stage, through negotiations, to closing and post-closing matters. He has extensive experience in international projects carried out in cooperation with leading foreign law firms.

As a trusted adviser to shareholders, management boards and supervisory bodies, Marcin also supports clients in situations requiring strategic decision-making, including corporate conflicts, changes in ownership, management irregularities and other crisis situations. He combines transactional expertise with a strong disputes practice, advising both on the preparation and implementation of transactions and on disputes arising from their execution and settlement.

A significant part of his practice focuses on corporate, transactional and post-M&A disputes, including disputes concerning the performance of transaction documents, purchase price determination and adjustment mechanisms, settlements between the parties and liability arising in connection with completed transactions. His combined transactional and disputes experience enables him to identify and address potential areas of conflict already at the structuring and negotiation stage.

Marcin also advises foreign investors on entering the Polish market and developing their operations in Poland, including through acquisitions, joint ventures and the establishment, reorganisation and expansion of local business structures. In these projects, he combines a strong understanding of the Polish legal and business environment with extensive experience of working in an international transactional setting.

He combines his corporate practice with academic work and experience gained through service on corporate supervisory bodies. He is a co-author of a commentary on the Polish Commercial Companies Code published by C.H.Beck and was a member of the Editorial Board of Monitor Prawa Handlowego. He chairs the Legal/LegalTech Committee of the German-Polish Chamber of Industry and Commerce. He has an academic background in both law and economics, gained in Poland and abroad.
