The JDP Law Firm advised Bacteromic, a company from the Scope Fluidics Group specialising in devising innovative equipment for medical diagnostics, in negotiations with its business partner.
Bacteromic, represented by JDP’s experts, signed a manufacturing contract, under which, together with its business partner, it will develop a small-scale cartridge production line for the BacterOMIC system and carry out R&D activities.
A cutting-edge device, developed by Polish microbiologists and engineers, allows the drug sensitivity of bacteria to a large group of antibiotics to be quantitatively assessed in a single test for the first time ever.
The BacterOMIC production line will be developed by a business partner belonging to the global holding Technicolor, relying on the know-how of the Scope Fluidics Group. The contract was signed for one year and is a pilot contract. In the R&D activities, the parties will cooperate not only to develop a small-scale production line, but also to optimise the costs of cartridge production.
JDP’s support included advising on drafting the contract regarding, i.a. intellectual property, issues relating to medical devices, commercial issues, and contract risk assessment. JDP’s lawyers focused primarily on achieving the client’s business goal and balancing the contract risk creating a win-win situation for the parties.
Bacteromic was supported by JDP’s Transaction and Contract Counselling Team’s experts: Marcin Chomiuk, PhD (Partner), attorney-at-law Krzysztof Brant (Associate), and Adam Usiądek (Associate). Assisting on regulatory issues was attorney-at-law Tomasz Jędrejko from the law firm Monika Duszyńska Law for Lifesciences. The other party was represented by attorney-at-law Jacek Myszko (Partner) leading the Life Sciences practice in Sołtysiński Kawecki & Szlęzak.
