JDP assisted in establishing a complex joint venture structure between a leading European player in the garden design and outdoor living market, and one of the major manufacturers of metal products. The transaction included several share transfers in Dutch and Polish companies, as well as a complex financing process delivered by a Dutch bank.
Our team was responsible for structuring and implementing the Polish part of the joint venture, which included:
- advising on commercial contracts;
- advising on employment law aspects of the transaction; and
- structuring and implementing post-transactional corporate governance structure at Polish subsidiaries of one of the major manufacturers of metal products.
