Adwokat (Attorney-at-law) in the Transaction and Contract Counselling Team and in the Employment Practice.
Advises on mergers and acquisitions, joint ventures and restructuring processes. Supports clients at every stage of the transaction – from the development of its structure, through the coordination of due diligence, to the negotiation of documentation and the closing of the transaction. She provides day-to-day corporate advice to Polish and foreign companies with respect to civil law, corporate governance and compliance.
Magdalena specializes also in labour law, especially transactional and restructuring aspects thereof – including, in particular, the due diligence processes, the employment of the management board and their non-competition obligations as well as transfers of employment establishments. She drafts and assists in implementing the motivational programmes based on share subscription and phantom shares.
She also advises on the entry of foreign investors into the Polish market (so-called greenfield).
