JDP advised Ayvens (formed by ex ALD Automotive and LeasePlan) on M&A integration of Polish companies as part of the global integration strategy. The Polish part of the integration was implemented under original scenario devised by the devoted project team individually for this project and consisted in a set of interdependent legal and tax mechanisms.
The transaction comprised global intra-group share transfers and complex transferring of business activity between the Polish companies including transfer of: operational functionalities, majority of contracts, employees, IP rights and IT systems. The entire works were aimed at merging the operations of Polish ex ALD and ex LeasePlan Polish entities into one company combined with full rebranding process.
JDP’s works were handled by the following streams: M&A and corporate, commercial, HR, data protection, compliance, tax, IP/IT, energy, and insurance, which were carried out in day-to-day cooperation with Ayvens Poland’s corresponding streams.
